1. Acceptance of Terms
By accessing or using the WHARI estate management platform, mobile applications, and related services (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not use our Services.
2. Description of Services
WHARI provides a digital estate management platform that enables estate administrators, residents, and security personnel to manage:
- Billing, invoicing, and payment collection for estate dues
- Visitor registration, QR-based access passes, and gate logging
- Property, unit, and resident management
- Expense tracking with approval workflows
- Financial reporting and analytics dashboards
- Communication and notifications
3. User Accounts
3.1 Registration
To use certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
3.3 Account Types
Different account types (Super Admin, Estate Admin, Facility Manager, Resident, Security Guard) have different access levels and responsibilities. Users must operate within the scope of their assigned role.
4. Payment Terms
4.1 Estate Dues and Fees
WHARI facilitates the collection of estate dues and fees on behalf of estate administrators. Payment amounts, schedules, and penalties are set by individual estate administrations, not by WHARI.
4.2 Payment Processing
Payments are processed through third-party payment providers (Paystack, Flutterwave, Monnify). By making payments through our platform, you also agree to the terms of the applicable payment processor.
4.3 Subscription Fees
Estate administrators subscribing to paid plans agree to pay the applicable subscription fees. Fees are billed monthly and are non-refundable except as required by applicable law. We reserve the right to modify pricing with 30 days' notice.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Attempt to gain unauthorized access to other users' accounts or data
- Interfere with or disrupt the Services or servers
- Upload malicious code, viruses, or harmful content
- Use the Services to harass, abuse, or harm others
- Scrape, crawl, or use automated means to access the Services without permission
- Resell or redistribute the Services without our written consent
6. Data and Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. Estate administrators are responsible for ensuring they have appropriate consent to share resident data through the platform.
7. Intellectual Property
All content, features, and functionality of the Services — including software, text, graphics, logos, and designs — are owned by WHARI and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Services without our explicit written permission.
8. Visitor Management
The visitor management features (QR passes, gate logs) are provided as tools for estate security. WHARI is not responsible for verifying visitor identities or ensuring physical security at any estate. Estate administrators and security personnel bear responsibility for their security protocols.
9. Limitation of Liability
To the maximum extent permitted by law, WHARI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of revenue, data, or profits
- Business interruption
- Unauthorized access to or alteration of your data
- Errors, inaccuracies, or omissions in financial calculations
- Actions of third-party payment processors
Our total liability for any claims arising from the Services shall not exceed the amount you paid to us in the 12 months preceding the claim.
10. Disclaimer of Warranties
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or secure.
11. Termination
We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our discretion. Upon termination, you may request an export of your data within 30 days, after which we may delete your account and associated data.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or the Services shall be resolved through arbitration in Lagos, Nigeria, unless otherwise required by applicable law.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through a notice on our platform at least 30 days before the changes take effect. Continued use of the Services after changes constitutes acceptance of the updated Terms.
